Terms of Services

Billet Evoltution LLP - Effective Date 1/1/2022

These Terms of Service (“Terms”) govern all services, products, programs, files, designs, and communications provided by Billet Evolution LLP (“Billet Evolution,” “we,” “us,” or “our”) to any customer, client, or entity (“Customer,” “you,” or “your”). By engaging our services, requesting work, submitting payment, or using any deliverables provided by Billet Evolution, you acknowledge that you have read, understood, and agreed to these Terms.

Scope of Services

Billet Evolution LLP provides services including, but not limited to:
-CNC machining and manufacturing
-Custom part design and fabrication
-CAD/CAM development
-Remote programming and digital file delivery
-Engineering consultation
-Performance and motorsports-related machining services
Services may be delivered physically, digitally, remotely, or electronically, including via email or file transfer.

Intellectual Property & Ownership

Unless explicitly stated otherwise in a separate written and signed agreement, all intellectual property created, developed, or provided by Billet Evolution remains the sole and exclusive property of Billet Evolution LLP.

This includes, but is not limited to:
-CNC programs
-Toolpaths
-G-code
-CAM files
-CAD drawings
-Models
-Fixtures
-Jigs
-Processes
-Programming logic
-Documentation -
-Calculations
-Digital files of any kind

Limited License:
Customers are granted a non-transferable, non-exclusive, revocable license to use delivered programs or files solely for the specific project for which they were provided.

Restrictions:
Customers may not:
-Copy, reproduce, modify, sell, distribute, or share programs or files
-Use programs for additional parts, machines, or projects without written approval
-Reverse engineer or extract programming logic
-Provide files to third parties

Any unauthorized use constitutes intellectual property infringement and may result in legal action.

Remote Programming Disclaimer

Remote programming services inherently involve variables outside Billet Evolution’s control, including but not limited to:
-Machine condition and calibration
-Tooling condition and selection
-Operator skill
-Workholding setup
-Material variation
-Controller configuration
-Software versions

Customer Responsibility:
The Customer assumes full responsibility for:
-Verifying all programs prior to execution
-Running simulations
-Performing dry runs
-Ensuring machine safety
-Confirming compatibility with their equipment

Billet Evolution is not responsible for machine damage, tool damage, scrap, downtime, personal injury, or production loss resulting from the use of remote programming services.

No Warranty

All services and deliverables are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied, including but not limited to:
-Merchantability
-Fitness for a particular purpose
-Accuracy
-Performance
-Production outcome

Limitation of Liability

To the maximum extent permitted by law:
-Billet Evolution LLP shall not be liable for indirect, incidental, consequential, special, or punitive damages.
-Total liability shall never exceed the amount paid by the Customer for the specific service giving rise to the claim.

Payment Terms

Invoices:
-Payment terms are Net 7, unless otherwise stated in writing.
-nvoices are due in full within 7 calendar days of the invoice date.

Late Fees: 
If payment is not received within 7 days:
-A 2% late fee will be applied
-Late fees are compounded weekly
-Fees continue to accrue until the balance is paid in full

Customer agrees that these fees are reasonable and represent the cost of carrying delinquent accounts.

Collections:
Billet Evolution reserves the right to:
-Suspend current or future work
-Withhold deliverables
-Recover collection costs, including attorney fees, court costs, and collection agency fees

Project Changes & Revisions

Any changes requested after approval, delivery, or programming completion may result in:
-Additional charges
-Revised timelines
-Updated scope of work Changes must be approved in writing.

Confidentiality

Billet Evolution agrees to treat customer-provided proprietary information as confidential. However, confidentiality does not apply to:
-Information already publicly available
-Processes independently developed by Billet Evolution
-Information required to be disclosed by law

Termination of Services

Billet Evolution reserves the right to terminate services immediately if:
-Payment terms are violated
-Customer misuses intellectual property
-Customer engages in unsafe, illegal, or unethical conduct

Termination does not relieve the Customer of outstanding payment obligations.

Governing Law & Venue

Customer agrees and understands that in the event a dispute arises from the services provided: Any and all matters or claims shall be governed by the laws of the State of Illinois, and any claims, actions, or litigation shall be filed exclusively in McHenry County or Cook County, Illinois. Customer knowingly waives any objection to venue or jurisdiction outside of Illinois.

Indemnification

Customer agrees to indemnify and hold harmless Billet Evolution LLP from any claims, damages, losses, or expenses arising from:
-Improper use of programs or services
-Violation of these Terms
-Third-party claims related to Customer operations

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

By engaging Billet Evolution LLP’s services, submitting payment, or using any deliverables, Customer acknowledges acceptance of these Terms of Service.
